Acceptance of Terms

These Terms of Service ("Terms") form an agreement between you ("you", "your", or "User") and FundedShield ("FundedShield", "we", "us", or "our") for access to the FundedShield website, dashboard, apps, subscription plans, email reports, and related services (together, the "Service").

If you use the Service on behalf of a business, prop firm team, or another person, you confirm that you have authority to accept these Terms for that party. If you do not agree with these Terms or our Privacy Policy, you must not use the Service.

Description of Service

FundedShield is a behavioral execution and discipline system built to help traders slow down impulsive decisions, follow self-defined rules, and review session behavior over time. Depending on your plan, the Service may include:

• Session start checks, trade check forms, and behavioral scoring
• Soft delay, hard delay, lock, and cooldown logic based on app rules
• Risk vectors, emotion vectors, discipline tracking, and session grades
• History, statistics, replay views, weekly reports, and profile settings
• Free, Plus, and Pro access levels with different available features

Eligibility & Account Registration

To use FundedShield, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into a binding contract
• Use the Service only where doing so is lawful for you

When registering an account, you agree to:

• Provide accurate account information, including a valid email address
• Keep your password, two-factor codes, and account access secure
• Contact us promptly if you believe your account has been accessed without permission
• Accept responsibility for all activity performed through your account

We may refuse, suspend, or close an account if we reasonably believe it is fraudulent, abusive, unsafe, inactive, or in violation of these Terms.

Subscription & Billing

FundedShield offers Free, Plus, and Pro access levels. Paid subscriptions unlock additional features while the subscription remains active. Prices, plan contents, upgrade offers, coupon availability, renewal terms, and the amount charged are shown on the checkout page before purchase.

• Automatic renewal: Paid subscriptions renew automatically on the billing cycle displayed at checkout. By purchasing a paid plan, you authorize the payment provider to charge your selected payment method automatically until you cancel.
• Billing cycle: Paid plans are billed monthly unless the checkout page clearly states a different cycle.
• Plan access: If a subscription expires, is cancelled, or payment fails, your account may return to Free access while your saved historical data remains stored subject to this policy and applicable law.
• Upgrades: If you upgrade from Plus to Pro, the Pro plan is purchased as its own monthly subscription shown at checkout.
• Coupons: Coupon codes may be limited to eligible accounts, specific plans, first-month payments, or a defined time window. Coupons have no cash value.
• No refunds: All payments are final and non-refundable, including subscription payments, renewals, upgrades, and unused time, except where a refund is required by mandatory law.
• Cancellation: You may cancel future renewals through the payment provider or account support. Cancellation stops future charges but does not refund amounts already paid.
• Price changes: We may change future pricing or plan features with notice where required. Existing paid access continues according to the terms shown at the time of purchase unless updated by agreement or law.

Payments are processed by Lemon Squeezy or another third-party payment provider displayed at checkout. We do not store full card details on our servers. Your payment may also be subject to the provider's terms, privacy policy, taxes, and fraud checks.

Acceptable Use

You agree to use FundedShield only for lawful, personal, and legitimate trading discipline purposes. You must not:

• Bypass, abuse, or manipulate locks, cooldowns, limits, coupon systems, or subscription gates
• Attempt to reverse engineer, copy, scrape, or extract the Service or its logic
• Upload malicious code, attack the platform, or interfere with other users
• Use another person's account or create accounts with false information
• Sell, rent, sublicense, or share paid access without written permission
• Use the Service for illegal trading activity, fraud, harassment, or any unlawful purpose
• Represent FundedShield as a broker, adviser, prop firm, or trading signal service

Violating this section may lead to feature restrictions, account suspension, termination, or denial of refund where permitted by law.

Intellectual Property

The FundedShield name, interface, design system, scoring structure, app flows, written content, software, databases, graphics, reports, and related materials are owned by FundedShield or its licensors and are protected by intellectual property laws.

We give you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own account and trading discipline workflow, subject to your plan and these Terms.

You own the information you enter into the Service. You allow us to host, process, display, analyze, and store that information only as needed to operate, secure, maintain, and improve the Service.

You may not reproduce, modify, clone, resell, publish, or create a competing product from the Service, its design, its protected materials, or its internal logic without our written permission.

Disclaimer of Warranties

We do not warrant that:

• The Service will always be available, accurate, complete, or free from technical issues
• Risk scores, confidence values, session grades, or behavioral labels will perfectly describe your real behavior
• Using FundedShield will prevent trading losses, funded account failures, emotional mistakes, or rule breaks
• The Service will match every trading strategy, prop firm rule, broker setup, or personal expectation

You remain fully responsible for every trading decision and every financial outcome. FundedShield can help you create friction before poor decisions, but it cannot remove market risk or personal responsibility.

Limitation of Liability

To the maximum extent permitted by applicable law, FundedShield and its owners, operators, contractors, employees, and service providers will not be liable for:

• Trading losses, failed challenges, missed entries, missed exits, or lost opportunities
• Indirect, incidental, special, consequential, exemplary, or punitive damages
• Loss of profits, revenue, data, goodwill, business, or account value
• Service downtime, bugs, delayed emails, inaccurate input, incorrect user settings, or third-party failures
• Any decision you make before, during, or after using the Service

If liability cannot be excluded, our total liability for all claims relating to the Service will be limited to the amount you paid to FundedShield in the 12 months before the event giving rise to the claim, or $100, whichever is greater.

Indemnification

You agree to defend and hold FundedShield harmless from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from:

• Your use or misuse of the Service
• Your breach of these Terms or misuse of another account
• Your violation of law, regulation, third-party rights, prop firm rules, or broker terms
• Your trading activity, trading decisions, or claims made by anyone using your account

Termination

By you: You may stop using the Service or request account deletion through profile settings or support. Cancelling a paid subscription stops future automatic renewals according to the billing provider's cancellation flow, but it does not create a refund for charges already completed.

By us: We may suspend or terminate access if we reasonably believe your account creates security risk, legal risk, payment risk, abuse, fraud, or a violation of these Terms.

When paid access ends, your account may remain available on the Free plan unless the account itself is deleted or suspended. Historical data may remain stored so it can be restored if you later resubscribe, subject to our Privacy Policy and data retention rules.

Terms about ownership, disclaimers, liability limits, indemnification, payment obligations, dispute rules, and any provisions intended to survive will continue after termination.

Governing Law

These Terms are governed by the laws applicable to the place where FundedShield is operated, without applying conflict-of-law rules. If mandatory consumer protection laws in your country give you additional rights, those rights remain unaffected.

Before starting a formal dispute, you agree to contact us first and give both sides a reasonable chance to resolve the issue in good faith.

If you are located in the European Union, you may have access to consumer rights and online dispute resources provided by EU institutions, including ec.europa.eu/odr where available.

Changes to Terms

We may update these Terms as the Service, pricing, plans, legal requirements, or security practices change. When changes are material, we will make reasonable efforts to notify users through the app, website, or email before or when the changes take effect.

If you continue using the Service after updated Terms become effective, you accept the updated Terms. If you do not agree, you must stop using the Service and cancel any active paid subscription.
